1. About These Terms

These terms of service govern the provision of web design, branding, and digital marketing services by Groundwork Digital Studio (ABN 42 538 114 280), operated by Alexander Pappas. By engaging our services or using our website, you agree to these terms.

2. Services

Groundwork Digital Studio provides web design, development, branding, SEO, and digital marketing services primarily for Australian trade businesses. The specific scope of work for each engagement will be outlined in a project proposal or service agreement provided prior to commencement.

3. Pricing and Payment

Our standard pricing model is:

• $0 upfront — No deposit or setup fee
• $199/month — Includes website hosting, maintenance, updates, security monitoring, and ongoing support
• 6-month minimum commitment — After the initial 6-month period, the service continues on a month-to-month basis

Custom pricing may apply for larger projects or additional services. All prices are in Australian Dollars (AUD) and are GST exclusive unless otherwise stated. Payment is due within 14 days of invoice unless otherwise agreed.

4. Intellectual Property

Client content: You retain full ownership of all content you provide, including text, images, logos, and branding materials.

Design framework: Groundwork Digital Studio retains rights to the underlying design framework, code templates, and development tools used in building your website. This allows us to continue using our tools and processes for other clients.

Completed website: Upon payment in full, you are granted a licence to use the completed website design for your business purposes. The custom design elements created specifically for your project become yours.

5. Client Responsibilities

You agree to:

• Provide content, images, and feedback in a timely manner
• Review and approve deliverables within 7 business days of delivery
• Ensure all content you provide does not infringe on any third party's intellectual property rights
• Maintain current payment information and pay invoices on time

6. Cancellation

During the initial 6-month term: Early cancellation requires payment of the remaining balance of the 6-month commitment.

After the initial term: Either party may cancel with 30 days written notice. Upon cancellation, we will provide you with all files and content related to your project. Hosting and maintenance services will cease at the end of the notice period.

7. Limitation of Liability

To the maximum extent permitted by law, Groundwork Digital Studio will not be liable for any indirect, incidental, special, or consequential damages arising from or related to our services, including but not limited to loss of revenue, data, or business opportunity. Our total liability for any claim shall not exceed the total fees paid by you in the 6 months preceding the claim. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian law.

8. Warranties and Disclaimers

We warrant that our services will be provided with reasonable care and skill. However, we do not guarantee specific results such as search engine rankings, traffic levels, or lead generation outcomes. Website performance depends on many factors outside our control, including your industry, competition, and content quality.

9. Australian Consumer Law

Nothing in these terms is intended to exclude, restrict, or modify any consumer rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010). If any provision of these terms is inconsistent with a right or guarantee under the Australian Consumer Law, that right or guarantee prevails.

10. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved informally, it shall be referred to mediation before any legal proceedings are commenced.

11. Governing Law

These terms are governed by the laws of the State of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria and any courts of appeal therefrom.

12. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
